NEW YORK, February 2, 2017 – Bragar Eagel & Squire, P.C. announces that a class action lawsuit has been filed in the United States District Court for the District of Maryland on behalf of all persons or entities who held American Realty Capital Retail Center of America, Inc. securities on January 13, 2017 (the “Class Period”).
On September 7, 2016, the two parties announced the signing of a definitive merger agreement pursuant to which American Finance Trust, Inc. will acquire American Realty Capital Retail Center of America, Inc. As a result of the merger, American Realty shareholders are only anticipated to receive 0.385 AFIN shares and $0.95 in cash per American Realty share.
The complaint alleges that the company failed to conduct a fair sales process and failed to disclose all material information regarding the sale of the company.
