NEW YORK, January 27, 2017 – Bragar Eagel & Squire, P.C. announces that a class action lawsuit has been filed in the United States District Court for the District of Delaware on behalf of all persons or entities who held Cynosure, Inc. (NASDAQ: CYNO) securities on February 24, 2017 (the “Class Period”).
On February 14, 2017, the two parties announced the signing of a definitive merger agreement pursuant to which Hologic, Inc. will acquire Cynosure in a deal. As a result of the merger, Cynosure shareholders are only anticipated to receive $66.00 in cash for each share of Cynosure common stock.
The complaint alleges that the company failed to conduct a fair sales process and failed to disclose all material information regarding the sale of the company.
